Mod Pizza is a food service business operating in the United States. Our Services include, but are not limited to, the following:
3.1 Online Ordering and Delivery
We offer customers the ability to browse our menu, customize their food orders, and place orders for pickup or delivery through our website at pizzmod.rest. Online orders are subject to availability and operating hours of the respective restaurant location. We reserve the right to modify the menu, pricing, or availability of items at any time without prior notice.
3.2 In-Store Dining and Pickup
Customers may visit our physical restaurant location(s) during posted operating hours to dine in or pick up orders. In-store services are governed by these Terms as well as any posted in-store policies.
3.3 Loyalty and Rewards Programs
We may offer loyalty rewards programs, promotional offers, discount codes, coupons, or other incentive programs (collectively, "Promotions"). All Promotions are subject to their own specific terms and conditions, which will be disclosed at the time of the offer. - Intellectual Property Violations: Copying, reproducing, distributing, or creating derivative works of any content from our Site without prior written authorization;

The Mod Pizza name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Mod Pizza or its affiliates. 6.3 Limited License
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Site and Services solely for your personal, non-commercial purposes. This license does not include any right to:

All menu items, prices, and availability are subject to change without notice. Prices displayed on the Site are in United States Dollars (USD) and are exclusive of applicable taxes and fees unless otherwise stated. We reserve the right to correct any pricing errors on the Site, even after an order has been placed.
7.2 Order Confirmation
Placing an order through our Site or app constitutes an offer to purchase. Your order is not confirmed until you receive an order confirmation email or notification from us. We reserve the right to refuse or cancel any order at our sole discretion, including but not limited to cases of suspected fraud, pricing errors, or inability to fulfill the order.

9. Disclaimer of Warranties
To the fullest extent permitted by applicable law, Mod Pizza expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to:

- Warranties that the Site will be uninterrupted, error-free, secure, or free of viruses or other harmful components;

10. Limitation of Liability

- Damages related to food allergies or adverse reactions to food products;
- Damages arising from third-party delivery services.
In no event shall our total cumulative liability to you for all claims arising from or relating to these Terms or the Services exceed the greater of: (a) the total amount paid by you to Mod Pizza in the twelve (12) months preceding the event giving rise to the claim, or (b) One Hundred U.S. Dollars ($100.00).
This limitation of liability reflects a fair allocation of risk between the parties. The limitations in this section shall apply regardless of the form of action, whether in contract, tort (including negligence), strict liability, or otherwise, even if we have been advised of the possibility of such damages.
11. Indemnification
You agree to defend, indemnify, and hold harmless Mod Pizza and its officers, directors, employees, agents, licensors, suppliers, and successors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
- Your violation of these Terms of Service;
- Your use or misuse of the Services;
- Your violation of any applicable federal, state, or local law or regulation;
- Your violation of any third-party rights, including intellectual property rights or privacy rights;
- Any User Content you submit, post, or transmit through the Services;
- Any fraudulent or unauthorized activity conducted through your account;
- Your conduct in connection with the Services, including any interactions with other customers or our staff.
We reserve the right to assume exclusive control of any matter subject to indemnification by you, at your expense. You agree to cooperate with our defense of such claims. You will not settle any claim without our prior written consent.

The parties expressly agree that:

- State consumer protection laws applicable to the jurisdiction of our operations shall apply;
- Any action or proceeding not subject to arbitration under Section 14 shall be instituted exclusively in the federal or state courts of competent jurisdiction located in the United States, and you consent to personal jurisdiction in such courts.
14. Dispute Resolution and Arbitration
14.1 Informal Resolution

We will make good faith efforts to resolve the dispute within thirty (30) days of receiving your written notification.
14.2 Binding Arbitration
If informal resolution fails, any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or validity thereof, shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, which are available at www.adr.org. The arbitration shall be conducted in English in the United States.
The arbitrator shall have the authority to award any remedy available at law or in equity, including monetary damages, injunctive relief, and declaratory relief. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
14.3 Class Action Waiver
14.4 Exceptions to Arbitration
Notwithstanding the above, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm pending the outcome of arbitration. Claims related to intellectual property infringement may also be brought in court.
14.5 Time Limitation on Claims
Any claim or cause of action arising out of or related to use of the Services or these Terms must be filed within one (1) year after such claim or cause of action arose, or it shall be forever barred, notwithstanding any statute of limitations to the contrary.
15. Term and Termination
15.1 Term
These Terms of Service become effective on the date you first access or use the Services and shall remain in full force and effect until terminated in accordance with this Section.
15.2 Termination by You
You may terminate your account or discontinue use of the Services at any time by contacting us at [email protected] and requesting account deletion. Termination of your account does not relieve you of any obligations incurred prior to termination, including payment for orders placed.
15.3 Termination by Mod Pizza
We reserve the right to suspend or terminate your account or access to the Services at any time, with or without notice, for any reason, including but not limited to:
- Violation of these Terms of Service;
- Suspected fraudulent, abusive, or illegal activity;
- Non-payment of amounts owed;
- Requests from law enforcement or government agencies;
- Discontinuation of the Services or any portion thereof;
- Technical or security issues.
15.4 Effect of Termination
Upon termination, your right to use the Services will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to: Intellectual Property Rights, Disclaimers, Limitation of Liability, Indemnification, Governing Law, and Dispute Resolution.
16. Modifications to Terms of Service
We reserve the right to modify, update, or replace these Terms of Service at any time in our sole discretion. When we make material changes to these Terms, we will:

Mod Pizza shall not be liable for any delay or failure in performance resulting from causes beyond our reasonable control, including but not limited to: acts of God, natural disasters, pandemic or epidemic, governmental actions or regulations, war, terrorism, civil unrest, labor disputes, power outages, internet or telecommunications failures, supply chain disruptions, or any other cause beyond our reasonable control ("Force Majeure Event"). We will make reasonable efforts to resume performance as soon as practicable following a Force Majeure Event.

No single or partial exercise of any right, power, or privilege shall preclude any other or further exercise thereof or the exercise of any other right, power, or privilege. Any waiver by us must be in writing and signed by an authorized representative of Mod Pizza to be effective.
24. Entire Agreement
